SOFTWARE LICENCE AGREEMENT AND REFUND TERMS

This agreement is between you (the "Licensee") and Rana Usman, operating mrusman.com (the "Licensor"). It covers the desktop software licensed under the name ListingReady, including its updates and documentation (the "Software"). By installing or using the Software, or by buying a licence, you agree to these terms. If you do not agree, do not install or use the Software.
1. WHAT YOU ARE BUYING
You are buying a licence to use the Software, not the Software itself. The Software stays the property of the Licensor. Your photos, projects and exported files always stay yours.
2. FREE TRIAL
Every installation includes a 14-day trial with all features and no export limit. When the trial ends you can still open the Software, edit photos, and open and save projects. Exporting needs a licence key. The trial exists so you can test the Software on your own photos before you pay.
3. LICENCE GRANT
When the Licensor confirms your payment, you receive a licence key. It gives you a non-exclusive, non-transferable, perpetual licence to use the version of the Software it covers (see section 4) on:
(a) one primary Windows computer, and
(b) one backup Windows computer.
Each computer needs its own key. A key only works on the computer whose machine code it was issued for. You may use the Software for your own work and for work you do for your clients, for example editing and watermarking a client's property photos.
4. UPDATES
Your licence includes one year of updates, counted from the date your key is issued. Versions released during that year are covered, and they keep working after the year ends. Versions released after the year ends need an update renewal, which is optional. If you do not renew, the version you already have keeps working and you lose nothing. The Licensor may fix bugs and release updates but is not obliged to add any particular feature.
5. WHAT YOU MAY NOT DO
You may not: copy, sell, rent, lend or share the Software or your key with others; share, publish or generate keys; remove or bypass the licence or trial checks; or use the Software for anything unlawful. You may not reverse engineer or modify the Software, except where the law gives you that right and cannot be excluded by agreement.
6. THIRD-PARTY COMPONENTS
The Software includes open-source and third-party components. Their licences and notices are listed inside the Software under Open-source notices. Those licences apply to those components, and nothing in this agreement limits your rights under them.
7. PRIVACY
The Software works on your computer. It does not upload your photos, file names, projects or edits, and it does not need an internet connection. Licence keys are checked on your computer. To get a key you send the Licensor your machine code, a value derived from your computer; the Licensor stores it with your name, email and payment details only to issue, replace and support your licence. Contact details are handled as described in the privacy policy on mrusman.com. The Software has a Copy diagnostics button that gathers technical details for you to send if you choose. It never includes your photos, file names or machine code.
8. YOUR PHOTOS AND CONTENT
You are responsible for having the rights to every photo you process and every watermark or logo you add. The Licensor does not see, store or review your photos.
9. NO GUARANTEE OF RESULTS
Auto Enhance and the other tools apply fixed, predictable corrections. They do not guarantee a particular look, and they cannot recover detail that is already completely lost in a photo. Check every exported photo before you use it. You are responsible for the final photos you publish.
10. WARRANTY AND LIABILITY
The Software is provided as is. The Licensor does not promise that it will be error-free or suit every purpose. To the extent the law allows, the Licensor is not liable for indirect or consequential loss, such as lost sales or lost listings, and the Licensor's total liability to you under this agreement is limited to the price you paid for the licence. Nothing in this agreement excludes liability that cannot be excluded by law, and nothing removes any right you have under mandatory consumer protection law.
11. PAYMENT
Prices are those agreed with you in writing before you pay. Payment is by bank transfer or PayPal, confirmed by hand. Nothing is charged automatically and no card details are stored. The key is issued after the Licensor confirms your payment.
12. REFUNDS
Because the 14-day trial lets you test everything first, a licence is not refundable once its key has been issued, except in these cases:
(a) you were charged twice for the same licence, in which case the extra payment is refunded;
(b) you paid and the Licensor did not deliver a working key, in which case you can have the key or a full refund;
(c) the Licensor cannot get the Software to install or activate on a supported computer after reasonable help, in which case you get a full refund; and
(d) where mandatory law gives you a refund right.
A refund is not available because the result differs from what you hoped for. Refunds are paid by the method used to pay, within 14 days of the refund being agreed. Transfer and conversion fees charged by your bank or by PayPal are outside the Licensor's control. Update renewals follow the same rule.
13. LOST OR NEW COMPUTER
If your computer changes, you reinstall Windows, or you lose a key, send your new machine code and the Licensor will issue a replacement key for the same licence at no charge. The Licensor may decline if there is reason to think a key is being shared.
14. SUPPORT
Support for installation, activation and bugs is by email to offers@mrusman.com or by WhatsApp on +971 58 251 0024. Support is provided in business hours on a reasonable-effort basis. A response time applies only if it is agreed in writing. Never send passwords or payment details through any support route.
15. ENDING THE LICENCE
This licence continues until it ends. It ends automatically if you seriously breach this agreement, for example by sharing keys, and the Licensor may then stop issuing keys or replacements. If it ends for that reason, no refund is due. You may stop using the Software at any time by uninstalling it.
16. CHANGES
The Licensor may update these terms for future purchases. The terms you accepted when you bought stay in force for your licence.
17. LAW
This agreement is governed by the laws of the United Arab Emirates, and the courts of the United Arab Emirates have jurisdiction, unless mandatory consumer law in your country says otherwise.
